Consensys Software Inc. said on September 9 that it plans to split into two independently operated companies, rebranding the existing company as MetaMask while creating a new infrastructure business that will retain the Consensys name. The planned separation, confirmed by Consensys, is expected to be completed by the end of 2026.

The move separates MetaMask’s consumer-facing, self-custodial finance operation from the company’s Ethereum protocol and institutional blockchain infrastructure businesses.
MetaMask takes the consumer mandate
Under the plan, the current Consensys Software entity will become MetaMask. The renamed company will focus on consumer self-custodial finance, positioning the wallet brand as the standalone consumer platform in the group’s new structure.
MetaMask has operated as part of Consensys Software before the announced restructuring. The corporate change would make it one of the two independently run companies rather than a business within the existing Consensys organisation.
New Consensys to house Linea and infrastructure
The newly created company using the Consensys name will contain the protocols and institutional infrastructure operation, including Linea. Its stated focus will be Ethereum protocols and institutional blockchain infrastructure.
The protocol and enterprise-oriented businesses would sit separately from MetaMask’s consumer remit under the announced plan; Consensys did not announce completion of the transaction.

Leadership and value accrual
Joe Lubin, Consensys’ founder, will be chairman and chief executive of MetaMask, as well as executive chairman of the new Consensys. Mike Kriak will become Consensys’ chief executive, with David Cunningham as its president.
Lubin told Fortune that MetaMask’s consumer operation had been accruing value faster than Consensys’ other business units, helping motivate the separation.
Completion target
Consensys expects the separation to be completed by the end of 2026. Until then, the announcement sets out the intended allocation of the businesses and their leadership, rather than a completed corporate split.
